Terms and Conditions for ShotGlass

Welcome to ShotGlass, operated by Merlinsbeard Pty Ltd ("we," "our," "us"). By accessing or using https://shotglass.app (the "Site") or the ShotGlass application (the "Application"), you, (the "Licensee") agree to these Terms & Services ("Terms"). If you do not agree, please do not use the Site.

1. Use of Services

1.1. Purpose: ShotGlass is a screen capture application.

1.2. Eligibility: By using our services, you confirm that you are at least 18 years old or have obtained parental consent.

2. Ownership and Licensing

2.1. Purchases: Users who purchase our services gain access to pre-built, code-signed application executables. The application is code-signed for your security.

2.2. Refunds: Direct purchases made through our website are covered by a voluntary seven (7) day no-questions-asked refund policy from the date of purchase or renewal charge. To request a refund, contact us at jake@shotglass.app from the email address used for the purchase. Once a refund is processed, access to the paid license or subscription may be revoked. This policy is in addition to any consumer rights or remedies that apply under law.

2.3. Personal License Subject to the terms and conditions of this Agreement, the Site grants the Licensee a non-exclusive, non-transferable, and non-sublicensable Personal License to use the ShotGlass application.

2.4. License Terms (Personal):
- One Personal license grants the Licensee the right to use the ShotGlass application indefinitely, together with one (1) year of free updates from the date of purchase.
- After the one-year update period ends, the Licensee may continue to use the version of the application they have for as long as they wish. There is no expiration date on the application itself.
- Each Personal license permits one (1) active device at a time. The Licensee may deactivate an existing device and activate the license on another device via the web dashboard at https://shotglass.app/dashboard.
- The Personal license is intended for personal use or small business use by up to two (2) people.

2.5. Yearly Subscription:
- The Yearly Subscription is billed annually on a per-seat basis. While the subscription is active, the Licensee has access to the latest version of the ShotGlass application and all updates released during the subscription period.
- The Licensee may cancel the subscription at any time. Access continues until the end of the current billing period, after which access to the application via the subscription terminates.
- Each seat permits up to three (3) active Macs at a time. The Licensee may purchase between one (1) and five hundred (500) seats. The Licensee may deactivate an existing device and activate the license on another device via the web dashboard at https://shotglass.app/dashboard.
- The Yearly Subscription includes a commercial-use license and may be used by teams of any size, subject to the seat and device limits above. Centralized billing and invoices are provided.

3. Restrictions

The Licensee shall not:
- Resell or redistribute the ShotGlass application.
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
- Use ShotGlass in any way that violates applicable laws, regulations, or third-party rights.
- Sub-license, rent, lease, or transfer the ShotGlass application or any rights granted under this Agreement.
- Activate a Personal license on more than the purchased number of devices at the same time, or activate more devices under the Yearly Subscription than the number of seats purchased multiplied by the per-seat device limit.

4. Data Collection

4.1. Personal Data: We collect your name, email, and payment information as part of providing our services. For details, see our Privacy Policy.

4.2. Non-Personal Data: Web cookies and tracking technologies may be used on our website for functionality, analytics, and advertising measurement. This includes Google Analytics, Meta Pixel/Conversions API, and DataFast for conversion tracking and performance measurement. These technologies apply only to the website; the ShotGlass desktop application contains no telemetry or analytics.

5. User Responsibilities

5.1. Account Security: You are responsible for maintaining the confidentiality of your account information.

5.2. Compliance: You agree to use the Site in accordance with all applicable laws and regulations.

5.3. Recordings and Outputs: ShotGlass is a screen capture tool. You are responsible for keeping backups of important recordings, screenshots, project files, and exported media, and for checking outputs before relying on them, sharing them, deleting originals, or using them for commercial, legal, archival, or other important purposes.

6. Modifications to Terms

6.1. We reserve the right to update these Terms at any time. Users will be notified of changes via email. Continued use of the Site after such updates constitutes acceptance of the new Terms.

7. Limitation of Liability

7.1. Non-Excludable Rights
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot lawfully be excluded, restricted, or modified under the Australian Consumer Law or other applicable law.

7.2. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SOFTWARE AND ALL SERVICES PROVIDED HEREUNDER ARE PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

7.3. Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MERLINSBEARD PTY LTD AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE, SERVICES, OR THEIR USE.

8. Digital Signatures
Software executables provided on this Site are distributed by Merlinsbeard Pty Ltd and may be digitally signed, notarized, or otherwise verified where supported by the relevant operating system. These verification mechanisms help indicate that the executable has not been altered after distribution by Merlinsbeard Pty Ltd.

9. Governing Law
These Terms are governed by the laws of Australia. Any disputes will be resolved in the courts of Australia.
